A former developer surrounded by friends and family in the legal profession, Darren began his career in 1996 by introducing a unified Corporate, Wills & Estates software suite to address the need for practitioners wishing to attain the benefits of document automation and file management without being forced to use someone else’s precedents. In 1999, Emergent pioneered the concept of a Virtual Minute Book to Canadian lawyers and has since expanded integrations to include Canada’s most popular accounting, document management and email systems in use today. A serial entrepreneur, Darren has also started other businesses including several which complement the efforts of Estate practitioners. First Inheritance Inc., which Darren started in 2013, provides inheritance, probate and funeral advances for Executor’s and beneficiaries.
Andrea obtained her Doctorate of Law and Masters of Business Administration from Dalhousie University in 1999 and her Bachelor of Psychology (Honors) from University of Alberta in 1990. She was called to the Ontario Bar in 2001. Prior to her legal career Andrea enjoyed working in the mental health field providing counselling services to victims of domestic violence at the Edmonton YWCA (1992-1994) and serving as a policy analyst to the Alberta government in the Women's Secretariat in 1995. Andrea has served as a board member and Vice Chair (2015) to the Joseph Brant Hospital Foundation (2013-2015) and as the Chair of the Political Action Committee of the Burlington Chamber of Commerce (2011-2013).
Ephraim received his Masters of Business Administration with Distinction from the Schulich School of Business at York University. He also earned an M.A. in European History from the University of Toronto. Ephraim is a Partner/Senior Vice President in MDD Forensic Accountants’ Toronto office where he is one of the leaders of the firm’s litigation services practice. He has provided expert witness testimony in court and at arbitration.
His practice encompasses a broad range of areas. He has prepared business valuation reports in the context of shareholder disputes, franchise disputes, matrimonial disputes, income tax reporting, and commercial disputes involving physical damage, breach of contract and fraudulent conveyance. His economic loss assignments have involved quantification of losses due to intellectual property infringement, class actions, expropriation, professional negligence, breach of contract and physical damage. He has completed numerous engagements involving first party commercial property insurance coverage, and also has broad experience dealing with personal injury losses on behalf of both plaintiffs and defendants.
He has prepared investigative accounting reports for both criminal and civil matters.
Ephraim is a regular contributor to Lawyers Weekly and Law Times and has authored or co-authored numerous articles in peer reviewed journals, including The Journal of Business Valuation, the American Bar Association’s Franchise Law Journal and the Canadian Intellectual Property Review.
